These License and Attribution Terms (the “Terms”) govern the license under which Stabil Systems LLC makes the Licensed Software available, at no cost, to qualifying ministries. By installing, deploying, or using the Licensed Software, the Licensee accepts these Terms.
Scope of this license. These Terms cover only the Licensed Software, defined in Section 1 as CampOS, ConferenceOS, and associated Rock plugins built by Stabil Systems LLC. They do not apply to Stabil's other products, including Engraved, Mylos, Quella, and Yonder, which are provided under their own separate terms. For licensing of any other Stabil product, contact stabilsyshelp@gmail.com.
“Licensor” means Stabil Systems LLC, a Wyoming limited liability company.
“the Licensed Software” means CampOS, ConferenceOS, and any associated Rock RMS plugins built by the Licensor, together with their source code, compiled binaries, Rock blocks, workflows and workflow actions, database schema extensions and migrations, Vue components, C# services, scripts, stylesheets, configuration, documentation, and associated assets.
“Licensee” means any ministry that deploys the Licensed Software and that holds the truths set forth in the Licensor's Statement of Faith.
“Statement of Faith” means the statement published by the Licensor at stabilsystems.com/faith, as amended from time to time.
“Licensee Data” means all data a Licensee enters into, generates within, or stores through the Licensed Software or Rock RMS.
“Rock RMS” means the Rock church-management platform owned and maintained by the Spark Development Network.
The Licensed Software is, and shall remain, the sole and exclusive property of the Licensor. All right, title, and interest in and to the Licensed Software, including all source code, compiled binaries, documentation, designs, and derivative works, together with all copyright, trade-secret, and other intellectual-property rights therein, are reserved to the Licensor in perpetuity.
The Licensed Software was conceived, funded, and developed entirely by the Licensor, at the Licensor's own expense, and is not a work made for hire. No use, deployment, payment, donation, collaboration, or request for modification by a Licensee or any third party creates any ownership interest, joint interest, or assigned right in the Licensed Software.
Subject to these Terms, the Licensor grants each Licensee a non-exclusive, royalty-free, worldwide, revocable, non-transferable, and non-sublicensable license to install, deploy, use, and modify the Licensed Software solely for the Licensee's own ministry operations.
This license is granted only to a ministry that holds the truths set forth in the Licensor's Statement of Faith, and continues only for so long as the Licensee continues to hold those truths.
A Licensee shall not assign, transfer, rent, lease, lend, sublicense, or otherwise make the Licensed Software available to any other person or organization without the Licensor's prior written consent.
All Licensee Data is, and shall remain, the sole and exclusive property of the Licensee. The Licensor claims no ownership of, license to, or right of access to Licensee Data. The Licensor may access Licensee Data only where the Licensee expressly invites the Licensor to do so for support or development purposes, only to the extent necessary for that purpose, and only for the duration of that engagement. The Licensor does not host, copy, retain, sell, or share Licensee Data, and holds no standing access to any Licensee's systems.
The Licensee is solely responsible for the manner in which it deploys, configures, integrates, secures, operates, and maintains the Licensed Software, including its selection of hosting, infrastructure, Rock RMS instance, database, and third-party integrations. The Licensor bears no responsibility for the Licensee's implementation, configuration, or operational decisions, or for the results of those decisions. The Licensee assumes all risk arising from its use of the Licensed Software.
The Licensee is strongly encouraged to engage qualified engineering support for the proper implementation, deployment, and ongoing maintenance of the Licensed Software. The Licensor does not warrant that a Licensee's self-implementation will succeed and bears no obligation to support a Licensee's implementation efforts. Any assistance the Licensor elects to provide is furnished at the Licensor's sole discretion and creates no obligation, service-level commitment, or warranty.
THE STABIL SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE STABIL SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET THE LICENSEE'S REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE STABIL SOFTWARE OR THESE TERMS SHALL NOT EXCEED ZERO DOLLARS ($0.00), REFLECTING THAT THE STABIL SOFTWARE IS PROVIDED AT NO COST. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE, GOODWILL, OR PROFITS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATING TO THE STABIL SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSEE ASSUMES ALL RISK OF USE.
The Licensee shall preserve the “Licensed by Stabil Systems LLC” attribution wherever it appears in any component of the Licensed Software, including the Rock Ministry Hub footer and page footers, and shall not remove, hide, alter, or obscure that attribution without the Licensor's prior written consent.
A Licensee may request modifications, enhancements, or fixes, which the Licensor may accept or decline in its sole discretion. Any modification or derivative work made by a Licensee remains subject to these Terms and to the Licensor's underlying ownership. A Licensee shall not redistribute, publish, or otherwise make available the Licensed Software or any modification or derivative of it, and shall not fork, rebrand, or repackage it into a separate or competing product.
This license takes effect upon the Licensee's first use of the Licensed Software and continues in perpetuity for so long as the Licensee operates the Licensed Software in alignment with its ministry mission and continues to hold the truths set forth in the Statement of Faith.
The Licensor may terminate this license as to a Licensee upon ninety (90) days' prior written notice in the event of a material breach, including misuse of data, unauthorized transfer or sublicensing, or a material departure from the ministry mission for which the Licensed Software was licensed.
Upon termination, the Licensee retains all of its Licensee Data in perpetuity and may continue to operate the last-licensed version of the Licensed Software for a wind-down period of twelve (12) months from the effective date of termination, after which the license terminates.
The Licensor has no obligation to provide support, maintenance, updates, bug fixes, security patches, or new features for the Licensed Software. Any such work is provided at the Licensor's sole discretion.
The Licensed Software operates on top of Rock RMS, which is a separate product owned and maintained by the Spark Development Network under its own license. These Terms grant no rights in, and make no representation concerning, Rock RMS. Rock RMS is provided by the Spark Development Network on a donation basis, and each ministry obtains access to Rock RMS by applying to the Spark Development Network directly; the Licensed Software runs on top of Rock RMS and does not include or distribute it. The Licensed Software may incorporate third-party libraries and components, each of which remains subject to its own license.
The Licensor may reference deployments of the Licensed Software in its own marketing, portfolio, and case materials, provided it does not disclose Licensee Data or other confidential information. A Licensee may identify the Licensor as the developer and licensor of the Licensed Software. Neither party shall disclose the other's confidential, non-public information without consent.
These Terms, and any dispute arising out of or relating to them or to the Licensed Software, are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles, regardless of where a Licensee is located or where the Licensed Software is used.
These Terms constitute the entire agreement between the Licensor and each Licensee regarding the Licensed Software and supersede all prior or contemporaneous understandings on that subject. The Licensor may amend these Terms by publishing an updated version at this address; a Licensee's continued use of the Licensed Software after an update constitutes acceptance of the amended Terms.
